Ads Hub provides comprehensive digital marketing services, including but not limited to:

• Search Engine Optimization (SEO): Keyword research, on-page optimization, technical SEO audits, link building strategies, content optimization, and performance tracking to improve organic search rankings.
• Pay-Per-Click (PPC) Advertising: Campaign strategy and management for Google Ads, Facebook Ads, Instagram Ads, LinkedIn Ads, and other paid advertising platforms, including budget optimization and ROI tracking.
• Content Marketing: Content strategy, creation, distribution, and performance analysis.
• Analytics and Reporting: Comprehensive tracking, measurement, and reporting of marketing campaign performance.

2.2 Service Scope

The specific services provided to each client will be outlined in individual service agreements or statements of work. Services may be customized based on client needs, budget, and objectives. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to affected clients.

2.3 Service Availability

While we strive to provide uninterrupted access to our services, we do not guarantee that our services will be available at all times. Services may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.

3. User Obligations and Responsibilities

You retain ownership of any content, materials, or information you provide to us. By providing such content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute the content solely for the purpose of providing our services to you.

4. Intellectual Property Rights

4.1 Our Intellectual Property

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, images, software, and design elements, are owned by Ads Hub SRL or our licensors and are protected by Romanian and international copyright, trademark, and other intellectual property laws.

The Ads Hub name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Ads Hub SRL. You may not use these marks without our prior written permission. Unless otherwise specified in a written agreement:

• Upon full payment, you will own the final deliverables specifically created for you as part of our services

5. Payment Terms and Pricing

6. Warranties and Disclaimers

6.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties regarding accuracy, reliability, or completeness of content
• Warranties that services will be uninterrupted, secure, or error-free

6.3 Third-Party Platforms

We are not responsible for:

• Changes to third-party platform algorithms, policies, or features
• Account suspensions or penalties imposed by third-party platforms
• Performance issues caused by third-party platform limitations
• Compliance with third-party platform terms of service (your responsibility)

6.4 No Guarantee of Results

Digital marketing results depend on numerous factors beyond our control, including market conditions, competition, platform changes, and your business factors. We cannot and do not guarantee specific outcomes, rankings, traffic levels, leads, sales, or return on investment.

7. Limitation of Liability

7.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

7.2 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Cost of substitute services or products
• Damages resulting from third-party actions or platform changes
• Damages caused by your failure to follow our recommendations

Each party agrees to:

• Maintain the confidentiality of the other party's confidential information
• Use confidential information only for the purposes of the business relationship
• Not disclose confidential information to third parties without consent
• Protect confidential information with the same care used for own confidential information

9.3 Exceptions

Confidentiality obligations do not apply to information that:

• Is or becomes publicly available through no breach of these Terms
• Was rightfully known prior to disclosure
• Is independently developed without use of confidential information
• Must be disclosed by law or court order

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions.

10.2 Jurisdiction

Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Bucharest, Romania.

10.3 Dispute Resolution Process

Before initiating formal legal proceedings, parties agree to:

• Notify the other party in writing of the dispute
• Attempt to resolve the dispute through good faith negotiations
• Consider mediation if negotiations are unsuccessful

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Ads Hub SRL regarding our services and supersede all prior agreements and understandings.
